For the cake:

Preheat oven to 350 F.

Place oats in a large mixing bowl. Pour boiling water over the oats, and let them sit for 10 minutes. Then add sugars and butter and mix well. Add eggs, and mix. Set aside.

In a medium-sized bowl sift together baking soda, salt, cocoa powder and flour. Add this into the oat mixture and mix until combined.

Fold in the nuts and half of the chocolate chips. Pour mixture into a greased 9x13 pan and smooth the top. Sprinkle remaining chips on top. Bake at 350 F for 30-40 minutes, until a toothpick inserted near the center comes out clean. Then remove cake from the oven and allow it to cool before frosting.

Combine all of the frosting ingredients in a medium sized bowl, mixing until well combined. Frost cooled cake.
