Line 13x9-inch pan with foil, with ends of foil extending over sides; spray with cooking spray.

Combine sugar, butter, eggs, vanilla, nuts and chocolate in large bowl.

Mix flour and baking powder.

Add to sugar mixture; mix well.

Reserve 1 cup batter for later use; spread remaining batter onto bottom of prepared pan.

Bake 15 min.

Microwave caramels and milk in microwaveable bowl on HIGH 2 to 2-1/2 min.

or until caramels are completely melted, stirring after each minute.

Pour over baked layer in pan; spread to within 1/2 inch of edges.

Spoon reserved batter over caramel layer; swirl gently with knife.
